The Company was organized as a result of efforts by certain entities that continue to provide services to the Company. Those entities, and the services to be provided by each, include the following:

An affiliate of Charter Partners was instrumental in organizing the Sponsored Captive and the Company and Charter Partners is now the sole owner and Sponsor of the Sponsored Captive.  Members of the Company must be acceptable to Charter Partners and may be required to pay a risks management fee or other service fees to Charter Partners in connection with participation in the Company.  Charter Partners participates in the day-to-day management of the Sponsored Captive in return for a Service Fee to be paid by the Company and from Management Fees paid by each protected cell to the Sponsored Captive.  Charter Partners also provides management, underwriting and operational services to the Primary Insurers in connection with the issuance of policies to be reinsured by the Sponsored Captive on behalf of the Company. In addition, for certain Members, Charter Partners receives retail brokerage commissions.  Certain Directors and/or Officers of the Company also serve as Directors and/or Officers of the Sponsored Captive.

AIG Insurance Management Services, Inc. ("AIMS"), a captive insurance management company located in Burlington, Vermont, assisted in the organizational efforts leading to the formation of the Sponsored Captive and theCompany. AIMS provides ongoing management services to the Sponsored Captive and the Company in the areas of management, accounting, claims, loss control, finance, tax, investment, insurance and reinsurance services and regulatory compliance. Brenda A. Stewart, a Director and Officer of the Company and the Sponsored Captive, is employed by AIMS.

The law firm of Primmer Piper Eggleston & Cramer PC, located in Burlington, Vermont, provided organizational legal services to the Sponsored Captive and the Company. The firm provides ongoing legal and regulatory services to the Company and, as permitted, to the Sponsored Captive and to Charter Partners.Russell A. Young, an Officer of the Company, is a shareholder in the firm.
